Following the auction linked to the takeover bid launched on 24 November, Iberdrola will acquire an additional 14.2% stake in its subsidiary Neoenergia, increasing its total holding to 98%.

The offer price was 33.77 Brazilian reais per share, resulting in a total payment of 980 million Brazilian reais, equivalent to approximately € 5.826 million. Iberdrola may reach full ownership of Neoenergia before the end of the second quarter of 2026 if the company exercises its squeeze-out rights.

Neoenergia supplies electricity to around 40 million people in Brazil through five distribution companies located in the states of Bahia, Rio Grande do Norte, Pernambuco, São Paulo, Mato Grosso do Sul and the Federal District of Brasília. The company also operates 18 transmission lines.

Neoenergia has activities across 18 states and the Federal District, with more than 725,000 kilometres of electricity distribution lines and 8,000 kilometres of transmission lines. Its installed renewable generation capacity totals 3,600 MW, mainly from hydroelectric sources.
